1.01 The name of the club shall be Bells Band Booster Club.
2.01 The specific purposes for which the club is organized are:
3.01 Any person interested in the purpose set out hereinabove and for which this association is formed, shall be eligible for membership upon the payment of the annual dues. Annual dues shall be established yearly by the Officers.
4.01
The officers of this club shall consist of President,
Vice-President, Secretary, and Treasurer. Chairman of the Board shall be the
Band Director(s) of the
President
5.01 The President, as chief executive officer of the club, shall supervise the organization’s affairs and activities and shall preside over each meeting of the organization, and the Board of Directors. The President shall have the power to appoint chairperson for various projects and program activities with the approval of the Board of Directors.
Vice-President
5.02 The Vice-President shall preside over any meeting of the organization, or Board of Directors, in the absence of the President. The Vice-President shall monitor each project to oversee its successful completion. His duties shall be those as assigned from time to time by the President and the Vice-President shall serve as member of the Board of Directors.
Secretary
5.03 The Secretary shall be the custodian of all official records of the Bells Band Booster Club. The Secretary shall be responsible for taking minutes at each meeting of the organization, and Board of Directors. The Secretary’s duties shall include the preparation and transmittal of any notices, letters, or publication as may be required from time to time by the Board of Directors, maintenance of an accurate membership list, and serving as a member of the Board of Directors.
Treasure
5.04 The Treasurer shall keep books and records of the organization. The Treasurer shall be custodian of all funds of the organization and is responsible for the disbursement of funds, as authorized. The Treasurer shall serve as a member of the Board of Directors. The Treasurer’s other duties shall include preparation of the annual budget in conjunction with the Board of Directors, preparation of a monthly financial statement for submission to the Board of Directors, and to insure the preparation and filing of all necessary state and federal income tax returns, insure the acquisition and maintenance of a federal income tax designation under Section 501(c)(3) and Section 170(c)(2) of the Internal Revenue Code of 1986, and payment of all accounts payable in a timely manner.
6.01 The Board of Directors shall initially consist of the Band Director(s) serving as one (1) Chairman and one (1) Board Member and the four (4) officers. Each Director’s term shall be for a period of one (1) year. A Director may be re-elected to subsequent terms.
7.01 The regular membership will be bi-monthly during football season, and monthly during off season. The day and time of the meeting will be set by the Board of Directors at a later date. The Board of Directors shall meet from time to time subject to call by any Executive Board member.
8.01 All committees, project activities or fund-raiser chairperson and vice-chairperson, shall be appointed by the president upon approval of the Board of Directors. The chairperson of each committee or project shall provide a written proposal for the project to the Board of Directors prior to the initiation of the project and upon completion of the project.
9.01 Roberts – Revised Rules of Order shall govern the proceedings of all meetings of the organization and its constituent’s parts.
10.01 These By-Laws may be amended by two-thirds (2/3) vote of the members present at any general or special business meeting providing notice of the proposed action has been given to each member at his last known address at least ten (10) day prior thereto.
11.01 Expenditures for project activities shall be made by the Treasurer co-endorsed by any other member of the Executive Board upon approval of the Board of Directors.
11.02 The
Executive Board shall annually make recommendations to the Board of Directors
as to a recommendation for an expenditure of funds either directly forwarded to
the Board of Trustees of the
11.03 The primary financial goals of the organization shall be the expenditures of moneys for the following:
12.01 Individual members shall have the right and power to vote on officers at the annual election set out herein. A slate of officer nominations may be presented by the current Board of Directors to the membership at the election meeting for the membership’s consideration. Additional nominations shall be accepted from the membership at the election meeting.
Board of Directors
12.02 Directors shall have the right and power to vote on replacement of Officers, approval of fund-raisers and project activities, approval and replacement of chairpersons for fund-raisers, and project activities.
12.03 Only the Board Director(s) shall have the right and power to recommend removal of an officer. The process to remove an officer shall include a hearing of Board of Directors. The Officer being reviewed shall be notified at least ten (10) days prior to the hearing, given the details for the removal and be invited to attend the meeting. Protests of the proceeding or the results shall follow the Bells Independent School District (BISD) “Chain of Command” as prescribed by BISD Policy.
12.04 Officer Elections shall be held at the BBBC membership meeting in May of each year.
12.05 New Officer Terms shall begin immediately following the conclusion of the election process.
13.01 The Bells Band Booster Club exists as an organization of parents and community person dedicated to:
A. Supporting,
encouraging and advancing the band program an related
activities of the
B. Promoting projects to improve facilities and equipment necessary to provide an adequate band program for the school district.
C. Not seeking to influence or direct technical activities or policies of the school administration or of the school officials who are charged with responsibility of conducting the band program of the school or district.
D. Ensuring that the club shall not violate the rules of the UIL or in any way jeopardize the membership of the school district in said band association.
14.01 The Band Director will attend the band booster meeting and act as official liaison between the school district and the Booster Club. In May of each year, the Band Director will present the Booster Club with the budget request for the following year. The Band Director shall serve as Chairman of the Board of this organization.
15.01 Upon
dissolution of the corporation, the Board of Directors shall, after paying or
making provision for the payment of all liabilities of the club, dispose of all
of the assets of the club exclusively for the purposes of the club in such
manner or to such organization or organization organized and operated
exclusively for purposes as shall at the time qualify as an exempt organization
or organizations under Rule 501(c)(3) of the Internal Revenue Code of 1954, as
amended (or the corresponding provision of any future United States Internal
Revenue law) as the Board of Directors shall so determine. It is the intent of
this organization that should any dissolution occur, that any assets of the
organization be distributed to the
16.01 The Executive Board shall be the officers of the club as determined under Article Four.
